1. Acceptance of Terms

By accessing or using DividendQuad (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

DividendQuad is a Software-as-a-Service (SaaS) platform that provides data visualization, fundamental analysis, and a proprietary stock quadrant classification system (Quality vs. Opportunity) for dividend-paying stocks. The Service processes publicly available financial data and presents it in an organized, visual format to assist users in their own research.

3. Financial Disclaimer

All data, scores, quadrant classifications, and analysis presented on DividendQuad are general in nature and are not tailored to any specific individual's financial situation, investment objectives, or risk tolerance. You are solely responsible for your own financial and investment decisions. You should consult with a qualified financial professional before making any investment decisions.

Past performance does not guarantee future results. The value of investments and any income derived from them can go down as well as up. You may receive back less than you invest. Dividend payments are not guaranteed and may be reduced or eliminated at any time by the issuing company.

4. Publisher's Exclusion

DividendQuad functions as a publisher of financial information and analysis. The Service applies impersonal, mathematical formulas and scoring algorithms to publicly available financial data. The output is not, and should not be construed as, a recommendation to buy, sell, or hold any specific security.

The quadrant classifications and scores are generated systematically and are not tailored to any specific individual's portfolio, financial situation, or investment goals. As such, DividendQuad operates under the publisher's exclusion from the definition of "investment adviser" under Section 202(a)(11) of the Investment Advisers Act of 1940.

5. Use of Generative AI

DividendQuad uses Generative AI technology (specifically Google Gemini) to assist in processing and summarizing publicly available financial data. While we strive for accuracy, AI-generated content may contain errors, omissions, or outdated information.

All data and analysis provided through the Service are offered on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Users are responsible for independently verifying any data or analysis before relying on it for investment or other decisions.

6. Account Registration

To access certain features of the Service, you must create an account using a valid email address via our magic link authentication system. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account.

7. Subscriptions, Payments & Refunds

DividendQuad offers a freemium model. Free users receive a limited number of credits upon signing up. Premium subscriptions are available at the following rates:

• Monthly: €9.99/month, billed monthly
• Annual: €99.99/year, billed annually

Subscriptions are recurring and will automatically renew at the end of each billing period unless cancelled. Payments and subscriptions are securely processed and managed by our Merchant of Record, Lemon Squeezy. Lemon Squeezy handles all financial transactions, billing, and applicable global taxes.

Cancellation: You may cancel your subscription at any time. Upon cancellation, your premium access will remain active until the end of the current billing period. No partial refunds will be issued for the remaining time in the current billing cycle. After the billing period ends, your account will revert to the free tier.

8. Intellectual Property

All content, features, and functionality of the Service — including but not limited to the quadrant methodology, scoring algorithms, software code, user interface design, text, graphics, logos, and trademarks — are and shall remain the exclusive property of DividendQuad and its licensors. These are protected by copyright, trademark, and other intellectual property laws.

You may not:

• Scrape, crawl, or systematically extract data from the Service
• Reproduce, redistribute, resell, or commercially exploit any analysis, scores, or data obtained from the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or alter any proprietary notices or labels on the Service
• Use the Service to build a competing product or service

9. Limitation of Liability

To the maximum extent permitted by applicable law, DividendQuad and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Service
• Any investment decisions made based on information provided by the Service
• Unauthorized access to your account or data
• Errors, inaccuracies, or omissions in data or analysis
• Any third-party conduct on the Service

In no event shall our total liability exceed the amount you paid to DividendQuad in the twelve (12) months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause and with or without notice, if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
